The First Wylie Center Presents: Free Rent for One Year
Rules and Guidelines

Objectives:

·         To assist with the opening of small businesses in the First Wylie Center

·         To offer free rent to numerous individuals or businesses for one year

·         To offer a possible percentage of ownership with Tommy Z. Hoffman or a new entity to be created in exchange for additional Free Rent, starting on the date the lease of the business space is signed and lasting for a period of 12 months (construction time is considered part of the initial 12 month period)

·         To fill available retail and wear-house space with businesses that exhibit potential for growth.

 

Awards: The business with the winning submittals will receive:

 

·         The business with the winning submittals will receive:

·         Free rent for the first 12 months of a 2 or 3-year Lease Term in a to-be-determined prime retail space or warehouse space at First Wylie Center located on Highway 78.

o   Excluding common area maintenance (“CAM”). Award will not include, and Awarded entity shall assume responsibility for, the payment of all other items including, but not limited to, insurance, rental tax, permits, construction, signage, legal fees and any hard cost for starting the business.

 

 

·         Possible exposure to local/international media during the announcement of the winning submittals.

·         $1000 in free advertising to the grand prize winner from C&S Media

·         $250 worth of ads for additional winners.

·         Each submission must include Summaries of the following:

o   A detailed business plan featuring:

-Executive Summary

-Company Summary

-Products/Services Summary

-Market Analysis Summary

-Strategies & Implementation Summary

-Management Summary

-Financial Plan

Eligibility:

 

·         Tommy Z. Hoffman’s – Zand Commercial LLC -  Promotion is open to all legal U.S. residents, 18 years of age or older at the time of entry.

·         Proposed businesses must be considered an independent operation. Corporate owned or nationally-franchised businesses that have new concept ideas will be considered but only as a runner up.

·         If the proposed business plan features an expansion of an existing business, then the proposed expansion must show some uniqueness to it.

·         All submissions must be delivered, or postmarked, to Chad Engbrock with C&S Media and Tommy Z. Hoffman by 5:00 p.m. (Colorado time) on August 9, 2009. 

·         Willingness to consider a 2 or 3-year Lease with sponsor Tommy Z. Hoffman / Zand Commercial LLC, terms of which are to be mutually negotiated within 30 days of selection.

Process:

 

·         All business proposals that meet the required criteria will be reviewed.

·         The winner will be notified by phone based on the information provided in the submitted content.

Selection Criteria:

 

·         Uniqueness of concept

·         Number of jobs created

·         Projected annual sales

·         Financial viability

·         Compatibility with vision for First Wylie Center

·         Ability to attract other businesses to First Wylie Center

·         Visual appeal from street level

 

 

Promotion’s Official Rules and Regulations:

 

• Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant(s) and Sponsors in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of TEXAS, without regard to conflicts of law doctrine.

• No purchase necessary to enter or win.

• The Promotion shall begin at 8:00 a.m., June 1, 2009 and all entries must be received at the address indicated by no later than 5:00 p.m. Colorado time on August 9, 2009.

Applications received past the deadline will be considered only as a runner up and will not necessarily receive the full benefits that on-time registrants receive for this Contest.

• The Contest’s Sponsors reserve the right to extend the Promotion date for selecting and notifying the Winners.

• Award is non-transferable and may not be redeemed for cash; substitutions by

Grand Prize Winner may not be requested.

• Award will not include, and Awarded entity shall assume responsibility for, the payment for all other items including, but not limited to, insurance, rental tax, permits, and legal fees.

• In accordance with IRS Code §74 regarding prizes and awards, a Form 1099-MISC will be issued by Sponsor to the Winner’s. Please consult your personal tax advisor for additional information.

• Printed copies of business proposals submitted into the Promotion will not be returned.

All business proposals will be kept confidential.

• If the Guidelines and Application for Entry have not been met, the Proposal will not be considered.

• If selected in the first round, the top 10 finalists will have an opportunity to present their business proposals to Tommy Z. Hoffman and Chad Engbrock in person.

• Winners will be determined on or before July

1, 2009

• By participating in this Promotion, you agree to these Official Rules and to all decisions

Made by Tommy Z. Hoffman and Zand Commercial LLC, which are final and binding in all respects.

• If a Winner is unreachable after fifteen (15) business days, an alternate Winner will be selected.

• Tommy Z. Hoffman and Zand Commercial LLC are not responsible for assisting with or providing businesses start-up capital, operating money, operating losses, etc.

• Tommy Z. Hoffman and Zand Commercial LLC reserve the right to use the information provided to contact all entrants with information about available retail spaces in First Wylie Center and reserve the right to use Winner's name, likeness, picture, portrait, voice, biographical information, written submissions, written or oral statements, for advertising and promotional purposes without additional compensation unless required by law.

• By accepting the prize, the winner releases and discharges sponsors, their affiliated companies, participating sponsors, information providers, content providers, subsidiaries, advertisers, advertising agencies, promotional and marketing agencies, and any other companies involved with or otherwise provided services related to this Promotion, and all their respective employees, officers, directors, representatives and Agents, from any liability or damage due in whole or in part to the award, acceptance, possession, use or misuse of the Prize or from participation in this promotion.

 

 

Conduct:

 

• By entering the Promotion, you agree to be bound by these Official Rules and the decisions of Tommy Z. Hoffman and Zand Commercial LLC, which shall be final and binding in all respects.

• The Official Rules will be posted at www.FirstWylieCenterFREErent.com throughout the promotion.

• Sponsors reserve the right in their sole discretion to disqualify any individual or business they find tampering with the entry process, or the operation of the Web site; or to be acting in violation of the Official Rules. Additionally, Sponsors reserve the right to seek damages and prosecute any fraudulent activities to the full extent permitted by law.

• This Promotion is subject to all federal, state, and local laws and regulations and is void in every national, state, local, or other jurisdiction in which it is prohibited, regulated, restricted by any law, statute, regulations, or other appropriate authority.
